1. Definitions
- –Platform — the Truee website at usetruee.com, the Truee application, and any associated APIs, documentation, and services.
- –Truee Profile — the verified, structured data record representing a business or AI entity on Truee.
- –Business User — any person or organisation that claims, manages, or publishes a Truee Profile on the Platform.
- –AI Company / API Consumer — any developer, company, or AI agent that queries the Truee API to retrieve verified profile data.
- –User — any Business User, AI Company, or other visitor who accesses the Platform.
- –Subscription — a paid or free plan that grants access to Platform features as described in the Fee Schedule.
- –Content — any data, text, images, business information, or other material you submit to the Platform.
2. Acceptance of Terms
By creating an account, submitting a Truee Profile, accessing the API, or otherwise using the Platform, you confirm that you are at least 18 years old (or the age of legal majority in your jurisdiction), that you have read and understood these Terms, and that you have authority to bind yourself or the organisation you represent.
If you are accepting on behalf of a company or other legal entity, you represent and warrant that you are authorised to do so.
3. Description of Services
Truee operates a verified business identity platform that enables AI systems, search engines, and large language models to retrieve accurate, structured, cryptographically-signed business data. Core services include:
- –Business profile creation, verification, and structured-data publication (JSON-LD).
- –Cryptographic signing of Truee Profiles to allow AI consumers to authenticate data provenance.
- –Real-time synchronisation and propagation of verified data to partner AI companies and scrapers (available on paid plans).
- –A Verification API that allows AI Company users to query the platform programmatically.
- –Dashboard tools for managing profile content, subscription, and analytics.
We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice. Where a paid feature is permanently removed, we will provide a pro-rata refund for the unused period.
4. Accounts & Registration
4.1 Account Creation
You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
4.2 One Account Per Entity
Each business entity may maintain one verified Truee Profile. Creating duplicate or fraudulent profiles to circumvent plan limits or verification requirements is prohibited.
4.3 Account Security
You must notify us immediately at legal@usetruee.com if you suspect any unauthorised access to your account. We are not liable for any loss arising from your failure to safeguard your credentials.
5. Subscriptions & Billing
5.1 Plans
Truee offers subscription plans for both Business Users and AI Company users. Current plans and pricing are published at usetruee.com/pricing. Plans include:
- –Free — basic Truee Profile with periodic (6-month) refresh cycles.
- –Standard — enhanced features, priority indexing, and more frequent data synchronisation.
- –Professional — full feature access, real-time propagation, and higher API quotas.
- –Enterprise — custom terms, dedicated support, SLA guarantees, and bulk pricing. Contact us for a quote.
5.2 Billing Cycle
Paid subscriptions are billed on a recurring monthly basis on the anniversary of your subscription start date. Annual billing may be offered at a discount where indicated. All fees are stated in the currency displayed at checkout and are non-refundable except as expressly set out in Section 5.4.
5.3 Payment Processing
Payments are processed by our authorised third-party payment processors (currently Stripe and Paystack). By providing payment information you authorise us to charge the applicable fees. We do not store full card details on our servers. Payment processor terms also apply to your transactions.
5.4 Refunds & Cancellations
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date. We do not provide pro-rata refunds for partial months except where required by applicable law or where we permanently discontinue a paid feature.
5.5 Taxes
Prices are exclusive of applicable taxes unless otherwise stated. You are responsible for any sales tax, VAT, GST, or similar levy imposed by your local jurisdiction.
5.6 Failed Payments
If a payment fails, we will attempt to notify you and retry. After repeated failures we may downgrade your account to the Free plan and suspend paid features until outstanding balances are settled.
6. Profile Data & Accuracy
6.1 Your Responsibility
You are solely responsible for the accuracy, completeness, and legality of all Content you submit to your Truee Profile. Truee signs and distributes this data to AI systems and partner networks on the understanding that it is genuine and authorised by you.
6.2 Verification
Truee may perform verification checks on submitted information. Verification does not constitute our endorsement of your business, products, or services. We reserve the right to reject, suspend, or remove any profile that fails verification or violates these Terms.
6.3 Data Distribution
By submitting a Truee Profile you grant Truee a worldwide, royalty-free licence to reproduce, distribute, format, cache, and deliver your profile data (including in JSON-LD and other structured formats) for the purpose of operating the platform, cryptographically signing records, and providing verified data to AI consumers via the Truee API. This licence also covers the technical actions required to perform those functions: crawling, indexing, reformatting, caching, and re-serving signed records to authorised consumers.
6.4 Accuracy Warranty
You represent and warrant that all information in your Truee Profile is truthful, accurate, and does not infringe the rights of any third party. You agree to keep your profile up to date and to remove or correct information promptly upon becoming aware of any inaccuracy.
6.5 Prohibited Data — What Must Not Be Uploaded
The following types of information must not be submitted to your Truee Profile or anywhere else on the Platform:
- –Payment card data — credit card numbers, debit card numbers, CVV codes, expiry dates, or any other cardholder data.
- –Bank account details — account numbers, sort codes, routing numbers, IBAN, or similar financial identifiers.
- –Government-issued ID numbers— social security numbers, national insurance numbers, passport numbers, driver's licence numbers, or tax identification numbers of individuals.
- –Personal data of customers or employees — names, addresses, email addresses, or phone numbers of individuals who have not consented to their data being published in a public AI-accessible profile.
- –Passwords or credentials — access tokens, API keys (other than those generated by Truee for legitimate API access), passwords, or authentication secrets of any kind.
- –Health or biometric data — medical records, health information, or biometric identifiers.
- –Confidential third-party information — trade secrets, non-public financials, or proprietary information belonging to another party that you are not authorised to disclose publicly.
Truee Profiles should contain only truthful, publicly-shareable business information: your trading name, address, contact details, operating hours, products and services, and similar factual data about your organisation. If you are unsure whether a piece of information is appropriate to include, do not include it. We reserve the right to remove any Content that violates this section and to suspend accounts that repeatedly upload prohibited data.
7. API Use
7.1 API Keys
Access to the Truee Verification API requires an API key. You must keep your key confidential, must not share it with unauthorised parties, and are responsible for all API calls made using your key.
7.2 Rate Limits
API usage is subject to rate limits associated with your plan. Exceeding these limits may result in temporary throttling or suspension of API access. Enterprise plans include higher or custom limits negotiated in writing.
7.3 Permitted Use
API data may only be used to improve the accuracy of AI-generated responses, for business intelligence, or for lawful purposes consistent with these Terms. Reselling raw profile data to third parties without our prior written consent is prohibited.
7.4 Attribution
Where required by your plan, you must attribute Truee as the data source when displaying or surfacing verified profile data in your products.
8. Intellectual Property
8.1 Our IP
The Truee platform, including its software, algorithms, cryptographic signing infrastructure, trademarks, logos, documentation, and all other platform elements, are the exclusive property of Truee Inc. or its licensors. Nothing in these Terms transfers ownership of any Truee IP to you.
8.2 Your Content
You retain ownership of the business data and other Content you submit. The licence granted in Section 6.3 terminates when you permanently delete your profile or close your account, subject to any retention obligations under applicable law.
8.3 Feedback
Any feedback, suggestions, or ideas you submit to us may be used by Truee without restriction and without obligation to compensate you.
9. Beta & Pre-Release Features
Beta Features are provided as is and may be incomplete, unstable, or change significantly before general availability — or may be discontinued entirely without notice. They are excluded from any uptime or SLA commitments. Your use of Beta Features is at your own risk.
We may collect enhanced usage data and feedback from Beta Feature interactions to improve the Platform. By using a Beta Feature you consent to this additional data collection as described in our Privacy Policy.
If a Beta Feature carries its own supplemental terms, those terms apply alongside these Terms and, in the event of conflict, supplement (but do not replace) these Terms unless expressly stated.
10. Export Controls & Sanctions
Truee operates from Nigeria and serves users globally. The Platform and its services may be subject to applicable Nigerian trade laws and to international sanctions regimes maintained by the United Nations, the United States (OFAC), the European Union, and other bodies, to the extent those regimes apply to transactions involving the Platform.
By using the Platform, you represent and warrant that:
- –Your use of the Platform does not violate any applicable trade sanctions, embargo, or export control law of any jurisdiction that governs your activities.
- –You are not designated on, or owned or controlled by a party designated on, any applicable government sanctions list (including the UN Consolidated List or OFAC's Specially Designated Nationals list where applicable to your transactions).
- –You will not use the Platform to facilitate transactions or provide services to individuals or entities subject to applicable sanctions.
We reserve the right to restrict or suspend access to the Platform from regions subject to applicable sanctions without prior notice.
11. DMCA & Content Takedowns
11.1 Copyright Infringement Claims
Truee respects intellectual property rights. If you believe that content on the Platform infringes your copyright, you may submit a takedown notice to our designated agent by emailing legal@usetruee.comwith the subject line “DMCA Takedown Request”.
Your notice must include:
- –A description of the copyrighted work you claim has been infringed.
- –A description of the infringing material and its location on the Platform (URL or profile entry).
- –Your contact information (name, address, email, phone number).
- –A statement that you have a good-faith belief the use is not authorised by the copyright owner, its agent, or law.
- –A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on their behalf.
- –Your physical or electronic signature.
11.2 Other Complaints
To report Truee Profile data that is inaccurate, fraudulent, or that impersonates your business, contact us at legal@usetruee.com. We will investigate and take appropriate action, which may include suspension or removal of the disputed profile.
11.3 Counter-Notices
If content you submitted has been removed in response to a takedown notice and you believe the removal was in error, you may send a counter-notice to legal@usetruee.com. Counter-notices must meet the requirements of the DMCA and applicable law. We will process counter-notices in accordance with our legal obligations.
12. Prohibited Conduct
You agree not to use the Platform to:
- –Submit false, misleading, or fraudulent business information.
- –Upload sensitive personal or financial data in violation of Section 6.5, including payment card details, identity documents, or personal data of third parties who have not consented to public distribution.
- –Impersonate another business, person, or entity, or claim a Truee Profile you are not authorised to represent.
- –Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
- –Use automated tools (bots, scrapers, crawlers) to access the Platform other than via the official API with a valid API key.
- –Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure.
- –Attempt to gain unauthorised access to any account, system, or network connected to the Platform.
- –Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
- –Circumvent any technical measures we use to enforce plan limits, verification requirements, or access controls.
13. Third-Party Services
The Platform integrates with or links to third-party services, including but not limited to payment processors (Stripe, Paystack), AI partner networks, and external documentation hosts. These third-party services are governed by their own terms and privacy policies, and Truee is not responsible for their conduct or content.
14. Disclaimers
Truee does not guarantee that AI models will consume, trust, or accurately represent your Truee Profile data, as this depends on third-party AI systems outside our control. Verified profiles increase the likelihood of accurate AI representation but do not guarantee specific outcomes.
15. Limitation of Liability
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees paid by you to Truee in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100.
16. Indemnification
You agree to indemnify, defend, and hold harmless Truee Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) any Content you submit, including any prohibited or sensitive data uploaded in violation of Section 6.5; (c) your violation of any third-party right; or (d) your use of the Platform in violation of applicable law.
17. Termination
17.1 By You
You may close your account at any time from the dashboard or by contacting legal@usetruee.com. Closure takes effect at the end of your current billing period.
17.2 By Truee
We may suspend or terminate your access to the Platform immediately and without prior notice if you breach these Terms, engage in fraudulent activity, upload prohibited data, or pose a risk to the integrity of the platform or to other users. We will endeavour to notify you of the reason where it is safe and lawful to do so.
17.3 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. We may retain certain data for archival, legal, or fraud-prevention purposes as set out in our Privacy Policy. Provisions that by their nature should survive termination will do so, including Sections 8, 14, 15, 16, 18, and 19.
18. Dispute Resolution
Before initiating any formal legal proceeding, you agree to contact us at legal@usetruee.com to attempt to resolve the dispute informally. We will use good-faith efforts to resolve the matter within 30 days.
If informal resolution fails, disputes shall be resolved by binding arbitration administered under the rules of a mutually agreed arbitration body. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Jury trial waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TRUEE EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law provisions. To the extent arbitration does not apply, you consent to the exclusive jurisdiction of the courts located in Lagos State, Nigeria.
Users located in the European Union benefit from applicable mandatory consumer protection laws of their country of residence, which these Terms do not override.
20. Miscellaneous
20.1 Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by circumstances beyond that party's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, internet or infrastructure outages, cyberattacks, pandemic, or failure of third-party services. The affected party will promptly notify the other and resume performance as soon as reasonably possible.
20.2 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable or, if not possible, severed. The remaining provisions shall continue in full force and effect.
20.3 Entire Agreement
These Terms, together with our Privacy Policy, Security Policy, and any applicable supplemental terms or order forms, constitute the entire agreement between you and Truee concerning the Platform and supersede all prior negotiations, representations, or agreements.
20.4 Waiver
A failure or delay by either party to exercise or enforce any right under these Terms does not constitute a waiver of that right. Any waiver must be made in writing to be effective.
20.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets, without your consent, provided we give you reasonable notice.
20.6 No Third-Party Beneficiaries
These Terms are for the benefit of you and Truee only and do not create any third-party beneficiary rights.
21. Changes to These Terms
We may update these Terms at any time. We will notify you of material changes by email or by posting a notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and close your account.
